Maria,

To the extent the new entity operates in a state other than Delaware, it may be subject to the laws of its home jurisdiction.  While many attorneys, in my experience, claim to be able to advise on corporate law of a jurisdiction in which they are not barred there is a significant risk, in my opinion, when a company relies on the expertise of someone across the country.  As you may appreciate, corporate law is not a federal practice and, thus, is not portable as some attorneys allege while risking UPL sanctions.

Colleagues, a newly formed company is looking for a corporate attorney to assist with the following (I received this help request from someone in the company I know very well):

A newly formed software company.

The company was incorporated in Delaware in the very end of last year as C-corp and recently started operating.

It develops an AI-powered knowledge management platform for businesses and governments.

The initial scope of work would be to review incorporation documentation, stock purchase agreements and consulting agreements with remote employees. Down the line, we will need to draft agreements with prospective customers regarding data protection, privacy, etc.

I would greatly appreciate your suggestions for such counsel.
